Indian American Business Association & Chamber (IABA)
These Terms & Conditions govern participation, engagement, listings, sponsorships, event attendance, purchases, donations, and all interactions with Indian American Business Association of USA Inc., DBA Indian American Business Association & Chamber (“IABA”).
Indian American Business Association of USA Inc. is a Florida not-for-profit corporation organized pursuant to Section 501(c)(6) of the Internal Revenue Code.
IABA operates as an independent business association platform providing networking opportunities, business visibility, event programming, sponsorship opportunities, and related engagement activities.
Engagement with IABA in any capacity — including business listings, memberships, sponsorships, donations, volunteer participation, event attendance, vendor participation, or promotional activity — does not create:
• Ownership interest
• Partnership
• Agency relationship
• Fiduciary relationship
• Voting rights
• Governance authority
• Statutory inspection rights
• Board participation rights
• Equity interest
Any terminology used in automated systems, communications, invoices, confirmations, or dashboards (including “member,” “membership number,” “business listing,” “partner,” or similar designations) shall be deemed administrative in nature only and shall not confer governance or ownership rights.
IABA retains sole authority over its governance, operations, programming, financial management, sponsorship approvals, and administrative decisions.
A Business Listing or membership-type designation provides visibility within the IABA platform and eligibility to participate in designated programming.
Listing features may include:
• Directory inclusion
• Promotional exposure
• Event invitations
• Access to select networking activities
Features may vary depending on event structure, availability, venue capacity, sponsorship tiers, and programming design.
IABA reserves the right to modify, expand, reduce, or discontinue listing features or participation privileges at its discretion.
No listing, sponsorship, or participation guarantees referrals, revenue, business success, marketing results, attendance levels, or financial return.
Payments made to IABA for listings, sponsorships, gala tables, event tickets, advertising, vendor booths, promotional packages, or other services represent voluntary contractual transactions for defined benefits and do not create ownership or governance rights.
Unless otherwise expressly agreed in writing:
• Fees are non-refundable
• Fees are non-transferable
• Benefits may not be reassigned without approval
• Sponsorship deliverables are subject to event structure and programming
IABA reserves the right to modify event details, venues, schedules, speakers, layouts, or programming due to operational needs, venue requirements, public safety considerations, or force majeure events.
Participation in IABA events, conferences, galas, tournaments, meetings, receptions, delegations, or related activities is voluntary.
Participants acknowledge that events may involve inherent risks including but not limited to:
• Travel-related risks
• Venue conditions
• Food and beverage consumption
• Alcohol service
• Third-party vendor services
• Public interaction
• Unforeseen health or safety conditions
Participants assume all risks associated with attendance and participation.
IABA acts as organizer and facilitator and does not control the conduct of third-party venues, vendors, sponsors, or attendees.
To the fullest extent permitted by law:
Participants release and hold harmless IABA, its officers, directors, employees, contractors, volunteers, sponsors, partners, and representatives from any and all claims, liabilities, damages, or expenses arising from participation, whether caused by negligence, third-party conduct, venue conditions, or otherwise.
Participants agree to indemnify and defend IABA against claims arising from their own acts, omissions, negligence, or misconduct.
IABA’s total aggregate liability for any claim shall not exceed the amount paid directly to IABA for the specific listing, event, sponsorship, or service giving rise to the claim.
IABA shall not be liable for:
• Direct or indirect damages
• Lost profits
• Business losses
• Networking outcomes
• Third-party disputes
• Personal injury
• Property damage
• Financial losses
Businesses and participants are responsible for the accuracy of submitted information.
IABA may exercise editorial discretion over materials submitted for publication, directory inclusion, promotional use, or event materials.
IABA does not independently verify representations made by participants and disclaims all warranties regarding accuracy, authority, legality, ownership, or completeness of submitted materials.
All reliance upon participant-provided content is at the user’s sole risk.
Participants agree to conduct themselves in a lawful and professional manner in connection with IABA activities.
IABA reserves the right, in its sole discretion, to restrict, suspend, or terminate participation or listings if conduct is determined to be unlawful, defamatory, misleading, discriminatory, disruptive, or materially inconsistent with organizational standards.
Such determinations are final and not subject to appeal unless required by law.
IABA collects and processes personal and business information for operational, administrative, communication, and promotional purposes.
By engaging with IABA platforms or events, individuals consent to the collection and use of such information consistent with applicable law.
IABA may utilize third-party service providers for hosting, email distribution, payment processing, registration, and analytics.
While commercially reasonable safeguards are implemented, IABA does not guarantee absolute data security.
IABA may host or facilitate events involving civic leaders or public officials. Such participation does not constitute endorsement of any candidate, political party, religious position, or policy.
IABA remains a non-political and non-religious organization.
All IABA branding, logos, materials, website content, and event materials remain the property of IABA unless otherwise stated.
Participants grant IABA limited permission to use submitted names, logos, and materials for promotional and directory purposes.
IABA shall not be liable for delays, cancellations, or modifications resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, venue closures, public health directives, government orders, or other force majeure circumstances.
These Terms & Conditions shall be governed by the laws of the State of Florida.
Any dispute arising from participation or engagement with IABA shall be brought exclusively in a court of competent jurisdiction located in Florida.
IABA reserves the right to update or modify these Terms & Conditions at any time.
Continued participation, listing status, sponsorship, attendance, or engagement constitutes acceptance of the current Terms & Conditions.
